3. Our Services

The specific services, features, deliverables, timelines, and costs for a project will be agreed upon with the client before work begins.

Depending on the project, this may be documented through:

  • A quotation
  • Proposal
  • Statement of work
  • Service agreement
  • Contract
  • Invoice
  • Written communication confirming the agreed scope

Any additional work outside the agreed scope may attract additional charges.

4. Project Requirements

Clients are responsible for providing accurate information, content, materials, credentials, approvals, and other resources reasonably required to complete a project.

Delays caused by missing information, delayed approvals, unavailable resources, or changes requested by the client may affect the agreed project timeline.

5. Payments

Payment terms will be communicated and agreed upon before or during the engagement.

Where a deposit or milestone payment is required, Bright Arm Enterprise may begin or continue work according to the agreed payment schedule.

Additional work, features, revisions, integrations, hosting, domains, third-party services, or other requirements outside the original scope may be charged separately.

6. Changes and Revisions

Clients may request reasonable changes within the agreed project scope.

Requests that substantially change the original requirements, functionality, design, or scope may be treated as additional work and may require a revised quotation or timeline.

7. Delivery and Acceptance

A project will be considered delivered when the agreed deliverables have been provided to the client for review.

The client is responsible for reviewing the delivered work and communicating any issues or agreed revisions within a reasonable period.

8. Intellectual Property

Unless otherwise agreed in writing, ownership of final custom deliverables created specifically for a client will be governed by the applicable project agreement and payment terms.

Bright Arm Enterprise retains ownership of its:

  • Pre-existing software
  • Frameworks
  • Libraries
  • Reusable components
  • Development tools
  • Templates
  • Processes
  • Know-how
  • Internal systems

Third-party software, plugins, APIs, fonts, images, hosting services, and other licensed materials remain subject to their respective licenses and terms.

9. Client Materials

Clients retain responsibility for the legality and ownership of content, documents, images, trademarks, data, and other materials they provide to Bright Arm Enterprise.

By providing such materials, the client confirms that they have the necessary rights or permission to use them.

10. Third-Party Services

Some projects may depend on third-party services such as:

  • Hosting providers
  • Domain registrars
  • Payment providers
  • Cloud platforms
  • APIs
  • Software libraries
  • Plugins
  • Email services
  • Analytics platforms

Bright Arm Enterprise is not responsible for outages, price changes, policy changes, service interruptions, or failures caused by independent third-party providers.

11. Website Hosting and Maintenance

Where Bright Arm Enterprise provides hosting or maintenance services, the applicable package, renewal period, support level, storage limits, and other conditions will be communicated separately.

Failure to renew applicable services may result in suspension or termination of the relevant service.

Clients are encouraged to maintain appropriate backups of important information.

12. Support

Where technical support is included in a service package, the scope and availability of support will depend on the applicable package or agreement.

Unless expressly stated otherwise, 24/7 support does not necessarily mean that every issue will be resolved immediately. Response and resolution times may depend on the nature and severity of the issue.

13. Confidentiality

We respect the confidentiality of information shared with us during a project.

We will take reasonable steps to protect confidential business, technical, organizational, and project information, subject to applicable law and any separate confidentiality agreement between the parties.

14. Data Protection and Privacy

Bright Arm Enterprise may collect and process personal information when you use our website, submit an enquiry, subscribe to our newsletter, or engage our services.

Such information will be handled in accordance with our Privacy Policy and applicable data protection laws.

15. Security

We take reasonable measures to protect our systems and services.

However, no website, software system, hosting environment, or internet transmission can be guaranteed to be completely secure.

Clients are responsible for maintaining the security of credentials, accounts, passwords, and access information under their control.

16. Service Availability

We aim to provide reliable services, but we do not guarantee that our website or digital services will always be available, uninterrupted, or error-free.

Maintenance, technical problems, security incidents, internet failures, third-party outages, and circumstances beyond our reasonable control may temporarily affect availability.

17. Limitation of Liability

To the extent permitted by applicable law, Bright Arm Enterprise shall not be liable for indirect, incidental, special, consequential, or unforeseeable losses arising from the use of our website or services.

This may include loss of profits, business interruption, loss of data, or loss of business opportunities.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

18. Project Cancellation or Termination

Either party may terminate a project or service in accordance with the applicable agreement.

Where a client terminates a project after work has commenced, the client may remain responsible for payment for work already completed, approved expenses, and other non-refundable costs agreed upon.

Bright Arm Enterprise may suspend or terminate services where a client materially breaches these Terms, fails to make required payments, or engages in unlawful or abusive conduct.

19. Refunds

Refund eligibility will depend on the nature of the service and the terms agreed for the specific project.

Services already completed, third-party purchases, domain registrations, hosting fees, licenses, and other non-refundable expenses may not be eligible for refunds.

Any specific refund terms agreed in a written contract or quotation will take precedence over this general provision.

20. Testimonials and Project References

With appropriate permission, Bright Arm Enterprise may display project names, logos, descriptions, or client testimonials for portfolio and marketing purposes.

We will not intentionally represent a client as endorsing Bright Arm Enterprise where no such endorsement exists.

21. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our services, business practices, or applicable legal requirements.

The updated version will be published on this page with a revised Last Updated date.

22. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Kenya, unless otherwise required by applicable law or agreed in writing between the parties.

Any disputes should first be addressed through good-faith discussions between the parties before pursuing other available legal remedies.
